1. General Information
1.1. These Terms & Conditions ("Terms") govern the use of the website www.cosmeticlab.eu ("Website") operated by SIA Cosmetic Lab, Reg. No. LV40103863637, registered at Latgales iela 322a, Riga, LV-1063, Latvia ("Cosmetic Lab", "we", "our", "us").
1.2. By accessing or using this Website, submitting inquiries, or entering into cooperation with Cosmetic Lab, you confirm that you have read, understood, and agreed to these Terms.
1.3. These Terms apply to all business relationships between Cosmetic Lab and its clients ("Client", "Customer") relating to Private Label, White Label, Formulation Development, Packaging Design, Testing, Documentation, and other professional cosmetic manufacturing services.
1.4. These Terms are governed by the laws of the Republic of Latvia and applicable European Union regulations.
2. Scope of Services
2.1. Cosmetic Lab provides professional cosmetic product development and manufacturing services, including but not limited to:
- Private Label production of cosmetics under the Client's brand;
- White Label solutions using pre-developed base formulations by Cosmetic Lab;
- Custom formulation development according to Client specifications;
- Packaging design and sourcing;
- Preparation of documentation and testing (including Product Information File (PIF), stability and safety tests in independent laboratories);
- Regulatory and compliance support (COSMOS, NATRUE, GMP).
2.2. All services are provided for business purposes only (B2B) and not for private consumer use.
2.3. Cosmetic Lab reserves the right to modify, suspend, or discontinue any service at any time, without prior notice, provided that existing contractual obligations are fulfilled.
3. Orders and Contracts
3.1. All quotations and offers issued by Cosmetic Lab are non-binding until confirmed in writing.
3.2. An order is considered accepted only upon written confirmation by Cosmetic Lab (via email or signed agreement).
3.3. The Client is responsible for providing all necessary information, artwork, packaging requirements, and documentation to execute the order.
3.4. Cosmetic Lab reserves the right to decline or postpone orders if: provided information is incomplete or inaccurate; product formulation or packaging is not compliant with EU cosmetic regulations; the Client has outstanding payments.
3.5. Minimum Order Quantities (MOQs), production lead times, and prices depend on the selected service type and will be specified in the quotation or agreement.
4. Pricing and Payment
4.1. All prices are quoted in EUR and are exclusive of VAT, unless stated otherwise.
4.2. Cosmetic Lab reserves the right to adjust prices in case of raw material cost changes, exchange rate fluctuations, or other objective circumstances beyond its control.
4.3. Payment terms are agreed individually per contract or invoice. Unless otherwise stated, payment in advance is required before production starts.
4.4. Late payments may result in a suspension of production or delivery, and Cosmetic Lab reserves the right to charge statutory late payment interest.
5. Delivery and Risk
5.1. Unless otherwise agreed, delivery is carried out EX WORKS Riga (Incoterms 2020).
5.2. The risk of accidental loss or damage to goods passes to the Client upon handover to the carrier or upon collection by the Client.
5.3. Delivery dates are approximate and depend on raw material availability and laboratory testing timelines. Cosmetic Lab is not liable for delays caused by force majeure or suppliers.
5.4. Any claims regarding missing or damaged goods must be submitted in writing within 5 working days after receipt of delivery.
6. Intellectual Property
6.1. All formulations, technical documentation, design concepts, and other materials created by Cosmetic Lab remain the intellectual property of Cosmetic Lab, unless otherwise agreed in writing.
6.2. The Client may not reproduce, distribute, or share Cosmetic Lab's materials, visuals, or formulations with third parties without prior written consent.
6.3. The Client retains ownership of any trademarks, logos, and product names provided for Private Label projects.
6.4. Cosmetic Lab may use anonymized visuals of finished products for portfolio or marketing purposes, unless otherwise requested in writing by the Client.
7. Quality and Liability
7.1. Cosmetic Lab guarantees that all products are manufactured in compliance with EU Regulation (EC) No 1223/2009 on cosmetic products, GMP ISO 22716, and other applicable standards.
7.2. The Client is responsible for ensuring that all labeling, marketing, and claims for their branded products comply with applicable regulations in their target markets.
7.3. Cosmetic Lab's liability is limited to the replacement of defective products or refund of the invoiced amount for the affected batch.
7.4. Cosmetic Lab shall not be liable for: damages resulting from misuse, improper storage, or modification of products; indirect or consequential losses.
8. Confidentiality
8.1. Both parties agree to keep all business, technical, and commercial information received during cooperation strictly confidential.
8.2. Confidential information may not be disclosed to third parties or used for any purpose other than fulfilling the contractual relationship.
8.3. This obligation remains valid for five (5) years after the termination of cooperation.
9. Data Protection
9.1. Cosmetic Lab processes personal data in accordance with the Privacy Policy available on www.cosmeticlab.eu.
10. Governing Law and Jurisdiction
10.1. These Terms and any disputes arising from them are governed by the laws of the Republic of Latvia.
10.2. Any dispute that cannot be settled amicably shall be submitted to the Latvian courts.
